The Curt Class III receiver hitch is designed to fit over the factory exhaust on the 2010 Toyota Highlander.
I will provide a link to the installation instructions, as well as a link to a video showing this hitch being installed on a 2009 model. The video will give you a pretty good idea of how the hitch will sit in relation to the exhaust system once its installed. You can find the links below.
